HMS Networks Bids for a Spanish Building Management Maker

HMS Industrial Networks has announced a friendly public takeover offer for Robot S.A., a building automation specialist based in Palma de Mallorca. Founded in 1983 and employing 65 people, Robot develops building management systems controlling energy resources, room comfort, lighting, water and common areas for hotels and other large buildings. The transaction is expected to complete around 1 December; the value was not disclosed.

David Garces, VP of HMS' Building Automation division, said Robot's products and technology complement the current product offer in building automation. Bernat Bonnin, Robot's executive chairman, framed the deal as a way to accelerate growth alongside a global leader in industrial communication.

The direction of travel is the thing to note. HMS is primarily an industrial communications company — its business has been protocol conversion, gateways, and getting one fieldbus to talk to another. Buying a room-level BMS vendor moves it up the stack into the application layer, where the product is not a translation but a control strategy.

The Intesis pairing makes the intent explicit. Gateways plus guest room management plus HVAC integration is a bid to own the whole path from field bus to hotel energy dashboard, rather than supplying a component into someone else's path.

For buyers, consolidation at this layer narrows the independent integration options in hospitality and multi-site commercial buildings — a sector where the integrator has historically assembled a stack from several vendors precisely because no one supplier covered it all. Whether that is a simplification or a lock-in depends largely on how open the combined stack stays.
